This Terms of Use and End User Licence Agreement (“Agreement”) is a legal agreement between you (“You” or “User”) and Kovarch Pty Ltd as trustee for the Kovarch Family Trust, trading under the business name Toasterface Games (“Toasterface Games”, “We”, “Us” or “Our”), concerning your use of the virtual reality software application Pedal Rebel VR (“Pedal Rebel VR”, “Software” or “Game”).

By downloading, installing, accessing, or using Pedal Rebel VR, you agree to be bound by this Agreement. If you do not agree to these terms, you must not download, install, access, or use the Game.

1. Acceptance of Terms

By using Pedal Rebel VR, you acknowledge that you have read, understood, and agree to this Agreement and our Privacy Policy.

You agree to use the Game only in accordance with this Agreement and all applicable laws and regulations.

If you do not agree to these terms, do not use the Game.

2. Licence Grant

Subject to your compliance with this Agreement, We grant you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use one copy of Pedal Rebel VR on a compatible virtual reality device for your personal, non-commercial use.

This licence does not transfer ownership of the Software or any of its content to you.

Except where expressly permitted by applicable law or by Us in writing, you must not:

• Copy, reproduce, distribute, sell, rent, lease, sublicense, or otherwise commercially exploit the Game.

• Modify, adapt, translate, or create derivative works from the Game.

• Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Game.

• Remove, alter, or obscure copyright, trademark, or other proprietary notices.

• Circumvent or interfere with technical protections or security features of the Game.

• Use the Game for commercial fitness training, rental, public exhibition, or other commercial purposes without our prior written permission.

• Use the Game in any manner that violates applicable laws or regulations.

3. Health, Safety & Exercise Warning

Pedal Rebel VR incorporates physical activity and is intended to be used with stationary exercise equipment such as an exercise bike.

The Game must not be used while riding or operating a moving bicycle, vehicle, or other form of transportation.

Using a VR headset while operating a moving bicycle or vehicle can significantly impair your awareness of your surroundings and may result in serious injury.

You acknowledge and agree that:

• You are solely responsible for your own health and safety while using the Game.

• You are responsible for ensuring that your exercise equipment is safe, stable, properly assembled, and suitable for use.

• Physical activity may involve risks including, but not limited to, fatigue, dizziness, loss of balance, motion sickness, discomfort, falls, muscle strain, and other physical injury.

• You are responsible for determining whether you are physically capable of safely using the Game.

• If you have any medical condition, injury, physical limitation, or other health concern, you should consult an appropriate healthcare professional before undertaking physical activity using the Game.

• You should follow the safety instructions and recommendations provided by the manufacturer of your exercise equipment and VR headset.

• You should maintain adequate hydration and take appropriate breaks.

• You should stop using the Game immediately if you experience pain, dizziness, faintness, unusual shortness of breath, nausea, or other concerning symptoms.
  

Do not use Pedal Rebel VR on an actual moving bicycle or while operating any form of transportation.

Pedal Rebel VR is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or medical condition.

4. Equipment and Compatibility

Pedal Rebel VR may require or be used in conjunction with third-party equipment, including virtual reality headsets, exercise bikes, sensors, controllers, straps, computers, and other hardware.

Toasterface Games:

• Does not manufacture, supply, or control third-party equipment used with the Game.

• Does not guarantee compatibility with every VR headset, exercise bike, sensor, accessory, or other hardware configuration.

• Does not guarantee that the Game will operate correctly with equipment that is incompatible, incorrectly configured, damaged, modified, or improperly maintained.

• Is not responsible for damage, malfunction, or injury arising from the use, setup, or operation of third-party equipment.

You are responsible for ensuring that your equipment is appropriate and safe before using the Game.

5. Prohibited Uses

You must not use Pedal Rebel VR:

• While riding a moving bicycle or operating any vehicle or form of transportation.

• In an environment where using a VR headset would create an unreasonable risk of injury.

• In a manner that interferes with your ability to safely observe your surroundings when such awareness is necessary.

• To engage in unlawful activity.

• To interfere with, disrupt, damage, or gain unauthorised access to the Game, its servers, or related systems.

• To hack, modify, reverse-engineer, or otherwise interfere with the operation of the Game.

• To scrape, harvest, collect, or misuse data from the Game, leaderboards, or related services.

• For commercial fitness training, medical purposes, rental, public exhibition, or other commercial purposes without our prior written permission.

You must not attempt to use the Game in a way that could reasonably be expected to cause harm to yourself, another person, property, or the Game's services.

6. User Data and Telemetry

Pedal Rebel VR may generate and transmit gameplay and technical telemetry to support the operation, testing, improvement, analytics, and development of the Game.

Depending on the features you use, this may include information such as:

• A randomly generated or otherwise non-identifying username or player identifier.

• Gameplay session duration.

• Estimated in-game speed.

• Distance travelled within the Game.

• Estimated calorie output.

• Gameplay statistics and scores.

• Technical information necessary to operate, maintain, troubleshoot, or improve the Game.

Where telemetry is described as anonymous or non-personal, we do not intend it to directly identify you.

Telemetry may be used to:

• Operate and improve the Game.

• Test and develop existing and future features.

• Maintain and improve leaderboards and gameplay statistics.

• Investigate technical problems.

• Support potential multiplayer or online features.

• Produce aggregated or anonymised statistics and promotional material.

We do not use telemetry collected by the Game for purposes inconsistent with our Privacy Policy.

7. Intellectual Property

Pedal Rebel VR and all associated software, graphics, artwork, designs, audio, text, logos, trademarks, branding, interfaces, gameplay systems, and other content are owned by or licensed to Kovarch Pty Ltd as trustee for the Kovarch Family Trust and are protected by applicable intellectual property and copyright laws.

Toasterface Games is a business name operated by Kovarch Pty Ltd as trustee for the Kovarch Family Trust.

Except for the limited licence expressly granted under this Agreement, no ownership or other intellectual property rights are transferred to you.

You must not reproduce, distribute, modify, publicly display, commercially exploit, or create derivative works from the Game or its content except as expressly permitted by this Agreement or applicable law.

8. Disclaimers and No Warranties

To the maximum extent permitted by applicable law, Pedal Rebel VR is provided “AS IS” and “AS AVAILABLE”, without warranties or guarantees except where such warranties cannot lawfully be excluded.

We do not guarantee that:

• The Game will always be available or uninterrupted.

• The Game will be free from errors, bugs, defects, or technical issues.

• The Game will be compatible with every VR headset, exercise bike, sensor, or other hardware configuration.

• The Game will meet your particular requirements or expectations.

• Gameplay features, leaderboards, online services, or other functionality will remain available indefinitely.

• Fitness-related information such as estimated calories, speed, distance, or other statistics will be accurate or suitable for medical, professional, or training purposes.

Any fitness-related measurements, calculations, scores, or estimates displayed by the Game are for entertainment and general informational purposes only. They should not be relied upon as accurate measurements of physical performance, energy expenditure, health, or medical status.

Nothing in this Agreement is intended to exclude, restrict, or modify any consumer guarantee, warranty, right, or remedy that cannot lawfully be excluded, restricted, or modified under applicable Australian law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Toasterface Games and Kovarch Pty Ltd as trustee for the Kovarch Family Trust will not be liable for any indirect, incidental, special, consequential, or exemplary loss or damage arising from or relating to your use of, or inability to use, Pedal Rebel VR.

This includes, to the extent permitted by law, losses or damages arising from:

• Use of the Game with exercise equipment or other third-party hardware.

• Equipment malfunction, failure, or incompatibility.

• Physical injury, illness, dizziness, motion sickness, or other physical effects associated with gameplay.

• Reliance on estimated fitness or gameplay metrics.

• Interruption, suspension, or unavailability of online services or Game features.

• Loss or corruption of gameplay data.

• Use of beta, preview, early-access, or experimental features.

• Unauthorised access to or alteration of data or systems caused by circumstances outside our reasonable control.

Nothing in this Agreement excludes or limits liability to the extent that doing so would be unlawful under applicable Australian law, including liability that cannot legally be excluded under the Australian Consumer Law.

10. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Toasterface Games and Kovarch Pty Ltd as trustee for the Kovarch Family Trust, together with their officers, employees, contractors, agents, and service providers, from claims, liabilities, losses, damages, costs, and expenses arising from:

• Your misuse of the Game.

• Your breach of this Agreement.

• Your violation of applicable laws or regulations.

• Your infringement of another person's rights.

• Your use of the Game in combination with unsafe, unsuitable, or improperly maintained equipment.

This clause does not apply to the extent that the relevant loss or damage was caused by our negligence, unlawful conduct, or other conduct for which liability cannot legally be excluded.

11. Termination

This Agreement remains in effect until terminated by you or by us.

You may terminate this Agreement at any time by ceasing to use the Game and uninstalling it from your devices.

We may suspend or terminate your licence to use the Game if you materially breach this Agreement, misuse the Game, or use the Game in a manner that creates a risk to our services, other users, or third parties. Where reasonably practicable, we may provide notice before terminating access. However, we may suspend or terminate access without prior notice where we reasonably consider immediate action necessary.

Upon termination, the licence granted to you under this Agreement ends and you must cease using the Game.

12. Changes to the Agreement

We may update or modify this Agreement from time to time, including to reflect changes to the Game, its features, applicable laws, or our business operations. The most recent version will be made available through the Pedal Rebel VR website. Where appropriate, significant changes may be communicated through the Game, website, or other reasonable means.

Your continued use of Pedal Rebel VR after an updated Agreement becomes effective constitutes acceptance of the updated terms.

13. Governing Law

This Agreement is governed by the laws of South Australia, Australia, together with applicable Commonwealth laws of Australia. However, nothing in this Agreement is intended to exclude, restrict, or modify any mandatory rights or protections that apply to you under the laws of the country or jurisdiction in which you reside or are located.

14. Entire Agreement and Severability

This Agreement, together with our Privacy Policy and any other terms expressly incorporated into it, constitutes the agreement between you and us concerning your use of Pedal Rebel VR. It supersedes any previous terms or agreements relating specifically to your use of the Game.

If any provision of this Agreement is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it valid and enforceable, where permitted by law. The remaining provisions will continue in full force and effect. A failure by us to enforce any provision of this Agreement does not constitute a waiver of our right to enforce that provision in the future.

15. Age Requirement

Pedal Rebel VR is intended for users aged 13 years and older. Users under 13 must not use the Game.

If you are under the age required to legally enter into an agreement in your jurisdiction, you should only use the Game with the involvement and consent of a parent or legal guardian where required by applicable law.
